These Terms of Service ("Terms") govern your access to and use of the Caprix AI platform at caprixai.com (the "Service") operated by Raks Group LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized access to your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of your organization.

2. Service Description

Caprix AI is a bid management platform for government contractors. The Service provides bid discovery, proposal drafting, compliance checking, contract vehicle intelligence, and related tools for pursuing government contracts. The Service uses AI models to generate proposals, score sections, and fill forms based on data you provide.

3. Subscription Plans and Payment

Free Trial

We offer a 30-day free trial with full access to the Service. No credit card is required. At the end of the trial, your account will be deactivated unless you upgrade to a paid plan.

Paid Plans

The Service is offered at three pricing tiers: Starter ($199/month), Pro ($499/month), and Unlimited ($999/month). Annual billing is available at a 15% discount. Prices are subject to change with 30 days notice.

Payment Terms

  • Subscriptions are billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • We reserve the right to suspend access for unpaid invoices after 15 days past due
  • You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.

4. Your Data and Content

Ownership

You retain all ownership rights to the data, documents, and content you upload to or create within the Service ("Your Content"). This includes company profiles, uploaded documents, proposals generated using your data, and all workspace content.

License to Us

By using the Service, you grant us a limited, non-exclusive license to process Your Content solely for the purpose of providing the Service to you. This includes sending data to AI models for proposal generation, scoring, and form filling. We do not use Your Content for any other purpose.

AI-Generated Content

Proposals, compliance matrices, form fills, and other content generated by the AI using Your Content belong to you. You are solely responsible for reviewing, editing, and approving all AI-generated content before submission to any government agency. The Company does not guarantee the accuracy, completeness, or compliance of AI-generated content.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or to submit fraudulent bids
  • Attempt to gain unauthorized access to other users' accounts or data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape, crawl, or use automated means to extract data from the Service beyond normal API usage
  • Resell, sublicense, or redistribute the Service without written permission
  • Upload content that infringes intellectual property rights of others
  • Interfere with or disrupt the integrity or performance of the Service
  • Submit AI-generated proposals to government agencies without human review and approval

6. Intellectual Property

Our IP

The Service, including its software, algorithms, scoring models, prompt engineering, user interface, and documentation, is the exclusive property of Raks Group LLC. All rights not expressly granted in these Terms are reserved.

Trademarks

"Caprix AI" and associated logos are trademarks of Raks Group LLC. You may not use our trademarks without prior written consent.

Feedback

If you provide feedback, suggestions, or feature requests, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate that feedback into the Service without obligation to you.

7. Data Security

We implement commercially reasonable security measures to protect Your Content, including:

  • Encryption at rest and in transit
  • Row-level security isolating each tenant's data
  • US-based infrastructure
  • Role-based access controls

No system is perfectly secure. We cannot guarantee that unauthorized parties will never access Your Content. You acknowledge this risk and agree that you are responsible for maintaining backups of critical data.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Specific disclaimers:

  • We do not guarantee that AI-generated proposals will win government contracts
  • We do not guarantee the accuracy of win probability scores, incumbent research, or bid intelligence data
  • We do not guarantee that bid discovery will surface every relevant solicitation
  • We do not guarantee compliance of AI-generated forms or proposals with specific government requirements
  • You are solely responsible for verifying all information before submitting to any government agency

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAKS GROUP LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Raks Group LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your submission of AI-generated content to government agencies
  • Any content you upload to the Service that infringes third-party rights

11. Termination

Either party may terminate the subscription at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination:

  • Your access to the Service will be revoked
  • Your data will be retained for 90 days, then permanently deleted
  • You may request data export before the 90-day period expires
  • Sections that by their nature should survive termination will survive (including IP, liability, indemnification, and dispute resolution)

12. Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware. Each party shall bear its own costs.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes constitutes acceptance. If you do not agree with updated Terms, you must stop using the Service.

14. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Raks Group LLC regarding the Service.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
